SimpleWorks Digital LLC — Terms & Conditions

These Terms & Conditions (“Terms”) govern your use of the SimpleWorks Digital website and your purchase or use of services provided by SimpleWorks Digital LLC, doing business as SimpleWorks Digital (“SimpleWorks,” “we,” “us,” or “our”).

By purchasing services, accepting a proposal, signing an agreement, creating an account, or otherwise using our services, you agree to these Terms.

1. Our Services

SimpleWorks Digital may provide services including:

  • WordPress website design and development
  • websites hosted through managed third-party platforms
  • website hosting where included in a plan
  • website content maintenance
  • promotional and special-offer updates
  • website chat
  • missed-call text-back or recovery
  • CRM and lead-management tools
  • review and reputation-management tools
  • forms and lead capture
  • appointment scheduling
  • email and SMS automation
  • landing pages and funnels
  • domain connection or registration assistance
  • search engine optimization setup
  • related website, marketing, automation, and technology services

The exact services included in your purchase are determined by your selected package, proposal, invoice, order form, or service agreement.

2. Independent WordPress Websites

Independent WordPress Websites are designed for clients who want greater control and portability.

Unless otherwise agreed in writing:

  • You are responsible for purchasing and maintaining your own domain.
  • You are responsible for purchasing and maintaining compatible WordPress hosting.
  • SimpleWorks may recommend hosting or domain providers, but those accounts remain subject to the provider's own terms and fees.
  • Once the project has been completed and all outstanding balances are paid, the completed WordPress website will be handed over or transferred as described in your agreement.
  • You may maintain the website yourself, purchase ongoing services from SimpleWorks, change hosting providers, or work with another website professional in the future.

Third-party themes, plugins, software, fonts, licenses, or other services may require separate ongoing fees and remain subject to their respective providers' terms.

3. Managed Platform Websites

Some SimpleWorks websites are created and operated through a proprietary third-party website and business-management platform, such as HighLevel.

These websites may include hosting and access to connected business tools as part of an active monthly SimpleWorks service plan.

Depending on your plan, services may include:

  • website hosting
  • CRM and contact management
  • lead capture
  • website chat
  • appointment scheduling
  • missed-call recovery
  • review-management tools
  • automated follow-up
  • centralized messaging
  • funnels
  • other connected business tools

Why Platform Dependence Matters

A Managed Platform Website is built using technology that belongs to and operates within a proprietary third-party platform.

Because the website relies on that platform's technology, hosting, software, and infrastructure, it cannot necessarily be removed from that platform and installed on an unrelated platform in the same way an independent WordPress website can.

An eligible HighLevel account may be transferable to another HighLevel provider or another eligible HighLevel account, subject to HighLevel's current policies and technical requirements.

However, a website built within HighLevel does not have a direct one-to-one export to WordPress, Wix, Squarespace, or other unrelated website platforms.

Moving the website to an unrelated platform may therefore require rebuilding some or all of the website.

We provide this information so clients can make an informed decision before choosing a Managed Platform Website.

4. Connected Business Tools and SaaS Services

SimpleWorks may provide connected technology services such as:

Starting at $49/month

Missed Call Recovery

Starting at $79/month plus applicable usage charges

Google Review / Reputation Tools

Starting at $79/month plus applicable usage charges

Connected Business Tools Bundle

Starting at $149/month plus applicable usage charges

Additional tools, CRM features, automation, booking, messaging, or other services may be offered depending on the client's package.

Certain telecommunications, email, SMS, voice, AI, or other metered services may result in additional usage charges.

Your current proposal, order form, or service agreement controls the price and features applicable to your account.

5. Website Content Maintenance

Optional ongoing website services may include reasonable content changes such as:

  • updating text
  • replacing images
  • updating business information
  • adding or changing specials
  • updating promotions
  • changing calls to action
  • other minor content adjustments included in your plan

Ongoing service plans do not include unlimited design or development.

Unless specifically included in your package, the following may require a separate quote:

  • new website pages
  • major redesigns
  • new funnels
  • custom functionality
  • e-commerce development
  • advanced integrations
  • extensive copywriting
  • substantial structural changes

Unused service time does not roll over unless your individual agreement specifically provides otherwise.

6. Deposits and Project Payments

A website project may require a deposit before work is scheduled or begins.

All project deposits are non-refundable.

The deposit compensates SimpleWorks for reserving project availability, administrative preparation, planning, onboarding, and the initial commitment of resources to the project.

Your proposal or invoice will state the payment schedule applicable to your project.

Unless otherwise agreed in writing:

  • work will not begin until the required deposit has been paid;
  • milestone or progress payments must be paid when due; and
  • final website transfer, administrative access, or launch may be withheld until all outstanding balances have been paid.

Work requested outside the agreed project scope may result in additional fees.

7. Project Cancellations and Refunds

Non-Refundable Deposit

The initial project deposit is non-refundable.

If you cancel a project after paying the deposit, the deposit will not be returned except where otherwise required by applicable law.

Additional Payments

Once substantive work has begun, payments relating to work already performed, strategy, design, development, revisions, project management, reserved project time, or expenses incurred on your behalf are generally non-refundable.

If you cancel before completion, you remain responsible for:

  • work already completed;
  • approved work;
  • work in progress;
  • non-cancellable third-party expenses; and
  • other amounts properly due under your project agreement.

We will not charge for work that was never performed unless your signed agreement expressly provides otherwise.

Completed Projects

Payments for completed, approved, launched, or delivered work are non-refundable except where required by applicable law.

A change of mind after work has been completed does not create a right to a refund.

8. Monthly Service Cancellation

Managed Platform Website plans, Connected Business Tools, maintenance services, and other recurring services may be cancelled by written notice to: mail@SimpleWorksDigital.com

Unless your individual agreement provides otherwise:

  • cancellation takes effect at the end of the current paid billing period;
  • you may continue to receive the applicable service through the end of that period;
  • recurring payments already charged are generally non-refundable and are not prorated;
  • future recurring billing will stop after the effective cancellation date; and
  • you remain responsible for outstanding usage charges or other amounts incurred before cancellation.

Nothing in these Terms limits any cancellation or refund right that cannot legally be waived.

9. What Happens When a Managed Platform Website Is Cancelled?

Managed Platform Websites operate through proprietary third-party software and infrastructure.

The monthly service may include the platform access and hosting required for the website to operate.

Therefore, when the applicable Managed Platform Website subscription ends, the hosting, platform functionality, and connected services supporting the website may also end.

Before cancellation becomes effective, a client may wish to explore whether the account is eligible to be:

  • transferred to another provider using the same platform; or
  • transferred into another eligible account supported by the platform.

Any transfer is subject to:

  • the third-party platform's current rules;
  • technical eligibility;
  • payment of all outstanding balances;
  • domain registrar restrictions where applicable;
  • applicable third-party requirements; and
  • any transfer or setup fees disclosed in advance.

If the website cannot be transferred within the same platform and the client chooses to move to a different website platform, the website may need to be rebuilt.

SimpleWorks will not intentionally withhold an eligible client-owned domain solely to prevent a client from leaving.

10. Cancellation of Connected Business Tools

When a connected service is cancelled, the functionality provided by that service may stop.

Depending on the services being used, this may include:

  • website chat
  • missed-call text-back
  • CRM functionality
  • automated messaging
  • appointment tools
  • review-request systems
  • forms
  • workflows
  • other connected features

Associated scripts, widgets, connections, telephone numbers, automations, or integrations may be disabled or removed when the service ends.

11. Domains

Unless otherwise stated, clients are responsible for their domains.

If SimpleWorks purchases, registers, or manages a domain on your behalf, ownership and transfer rights will be subject to your agreement, payment status, and the applicable registrar's rules.

Newly registered or recently transferred domains may be subject to transfer restrictions imposed by the registrar or governing domain authority.

Domain registration and renewal fees are not included unless specifically stated in your package.

12. Hosting

Independent WordPress clients generally provide their own hosting unless otherwise agreed.

Hosting may be included with an active Managed Platform Website plan.

When a service plan that includes hosting ends, the associated hosting may also end.

SimpleWorks is not responsible for outages, service interruptions, platform failures, cybersecurity incidents, or changes caused by third-party providers outside our reasonable control.

13. SMS, Email, Telephone, AI, and Usage Charges

Some connected services are charged based on usage.

These may include:

  • SMS messages
  • MMS messages
  • telephone numbers
  • voice calls
  • email delivery
  • AI services
  • other metered communications or technology services

Where applicable, these charges are separate from the base monthly subscription unless your plan specifically states that they are included.

14. Client Responsibilities

You agree to provide accurate and timely:

  • business information
  • copy
  • photographs
  • logos
  • brand materials
  • passwords or authorized account access
  • approvals
  • feedback
  • legal disclosures
  • other materials reasonably required for your project

You represent that you have the right and permission to use all materials you provide.

You are responsible for the accuracy and legality of claims made about your products, services, business, pricing, credentials, and other content.

SimpleWorks is not responsible for delays resulting from missing information, delayed approvals, lack of access, or client inactivity.

15. Consultants, Contractors, and Technical Specialists

SimpleWorks may work with independent consultants, contractors, developers, technical specialists, platform support personnel, or other professional service providers when reasonably necessary to provide, troubleshoot, improve, or complete services.

This may include obtaining specialized assistance with website development, software configuration, account troubleshooting, integrations, automation, hosting, technical problems, or related services.

Where reasonably necessary, these professionals may be given limited access to client accounts, systems, or information required to perform their work.

SimpleWorks will seek to limit such access to what is reasonably necessary for the applicable task and may require confidentiality or other appropriate safeguards where appropriate.

By using our services, you authorize SimpleWorks to engage qualified third parties in this manner when reasonably necessary to provide the services.

16. Our Right to Decline, Pause, or End Services

SimpleWorks reserves the right to decline a project or prospective client before entering into an agreement.

We may also pause or terminate an existing client relationship when we reasonably determine that continuing the relationship is inappropriate or impractical.

This may include situations involving:

  • abusive, threatening, discriminatory, harassing, or inappropriate behavior;
  • unlawful or potentially fraudulent activity;
  • requests that we believe are unethical or unsafe;
  • repeated failure to make required payments;
  • repeated failure to provide required information or approvals;
  • unauthorized use of third-party intellectual property;
  • conduct that creates a security, privacy, legal, reputational, or technical risk;
  • requests materially outside the agreed scope;
  • unreasonable interference with our ability to perform the services; or
  • circumstances in which, in our reasonable professional judgment, the working relationship is no longer workable.

If services are terminated because of client conduct or breach, amounts already paid may remain non-refundable and outstanding amounts for completed work remain due.

If SimpleWorks elects to terminate a project for reasons unrelated to client misconduct or breach, we will determine any appropriate refund of amounts paid for work not performed, excluding the non-refundable deposit and amounts attributable to work already performed or expenses already incurred, except where otherwise required by law.

17. Project Delays and Inactivity

If a client becomes unresponsive or fails to provide required information, materials, access, feedback, or approvals, SimpleWorks may pause the project.

Extended inactivity may require the project to be rescheduled based on current availability.

If significant additional work results from a prolonged delay, we may quote an additional fee before restarting the project.

18. Revisions and Scope

Your package or proposal will identify the number of revisions included.

A revision is a reasonable modification to work already created within the agreed project scope.

A revision does not include:

  • a completely new design direction after previous approval;
  • additional functionality;
  • additional pages outside the package;
  • substantial new content;
  • additional services not included in the original scope.

Additional work will be quoted separately before proceeding.

19. Search Engine Optimization

SimpleWorks may provide basic or advanced SEO services depending on the package purchased.

Services may include:

  • page titles
  • meta descriptions
  • heading structure
  • internal linking
  • image optimization
  • schema markup
  • technical website structure
  • search-friendly content organization

SimpleWorks does not guarantee any specific Google ranking, search-engine position, traffic level, lead volume, or sales result.

Search engines independently determine rankings and may change their systems or algorithms at any time.

20. No Guarantee of Business Results

A website, CRM, automation, chat system, review tool, or follow-up process can assist a business in attracting, capturing, and managing opportunities.

It cannot guarantee customers or revenue.

SimpleWorks does not guarantee:

  • revenue
  • lead volume
  • sales
  • conversion rates
  • appointments
  • reviews
  • search rankings
  • business growth
  • specific financial results

Results depend on many factors outside our control.

21. Third-Party Platforms and Services

SimpleWorks services may use or connect with third-party providers including:

  • WordPress
  • HighLevel
  • hosting companies
  • domain registrars
  • telecommunications providers
  • email providers
  • payment processors
  • analytics platforms
  • software plugins
  • scheduling tools
  • AI services
  • other technology providers

These third parties operate under their own terms, pricing, privacy policies, availability, and technical limitations.

SimpleWorks cannot guarantee that a third-party provider will remain available, maintain the same features, maintain the same pricing, or continue operating in the same manner.

22. Ownership

Unless otherwise stated in your agreement, once an Independent WordPress Website has been completed and fully paid for, you receive the rights to the final client-specific website deliverables provided to you.

SimpleWorks retains ownership of:

  • the SimpleWorks Digital name and branding;
  • internal methods and processes;
  • reusable systems;
  • general templates and frameworks;
  • proprietary tools;
  • materials developed independently of your project; and
  • other intellectual property not created exclusively for the client.

Third-party materials remain owned by their respective owners and subject to their applicable licenses.

Software and functionality provided through proprietary platforms remain subject to those platforms' intellectual-property rights and license terms.

23. Website Availability and Security

We use reasonable care in providing our services, but no website, software platform, database, telecommunications system, or online service can be guaranteed to be available, uninterrupted, error-free, or completely secure at all times.

24. Limitation of Liability

To the maximum extent permitted by applicable law, SimpleWorks Digital LLC will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of our website or services.

Our total liability arising from a particular paid service will not exceed the amount paid to SimpleWorks for the service giving rise to the claim, except where such a limitation is prohibited by law.

25. Changes to These Terms

We may update these Terms from time to time.

The current version will be posted on our website with an updated “Last Updated” date.

Changes affecting an existing paid agreement will be handled in accordance with applicable law and the applicable agreement.

26. Governing Law

These Terms are governed by the laws of the state in which SimpleWorks Digital LLC is legally organized or principally operates, except where applicable law requires otherwise.
